1. Acceptance of Terms

By accessing or using Bizdexpro ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Bizdexpro aggregates publicly available business filing records from state Secretary of State offices and presents them in a searchable, browsable format. We also provide an API and downloadable data exports for registered users. The data we publish is sourced from government public records and is provided on an "as-is" basis (see our Data Accuracy Disclaimer).

3. User Accounts

• You must provide a valid email address to create an account.
• You are responsible for maintaining the security of your account credentials.
• You may not share your API key with third parties or use it beyond your plan's rate limits.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Scrape or crawl the site in a way that degrades performance for other users.
• Attempt to access data or systems beyond your authorized access level.
• Resell or redistribute bulk data downloads without a commercial license.
• Use the data for unsolicited marketing (spam), harassment, or fraud.
• Misrepresent the data as your own original research or imply government endorsement.

5. API Terms

• Free-tier API access is subject to rate limits. Exceeding limits may result in temporary throttling.
• API responses are provided for your use only unless you hold a commercial license.
• We may modify API endpoints or response formats with reasonable notice.
• We do not guarantee 100% API uptime and are not liable for downtime or data delays.

6. Intellectual Property

The underlying business filing data is sourced from public government records and remains in the public domain where applicable. However, our compilation, presentation, website design, templates, API, and branding are protected by copyright and may not be reproduced without permission.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DATA IS ACCURATE, COMPLETE, OR CURRENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZDEXPRO AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service.
• Any inaccuracy in the data provided.
• Unauthorized access to your account.
• Any interruption or cessation of the Service.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Bizdexpro and its operators from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the site at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which the operator resides.
